Terms and Conditions
Last updated: October 2026
These Terms govern use of www.insygneum.ie and provide general terms applicable to Insygneum services. A particular service is supplied only where the parties have agreed the applicable scope, deliverables, timing and fees in writing, normally through a Service Agreement, Statement of Work, proposal, order form or other written agreement.
1. About Us
Insygneum is an Irish business partnership operated by Tamas Nagy and Monika Bondar, providing business analytics, digital marketing, website/design, process improvement and automation services. Registered business name: Insygneum; CRO business registration number: 793157. Contact: tom@insygneum.ie.
2. Website Use and Service Contracts
Use of the website is subject to these website terms. Specific paid services are governed by the applicable Service Agreement, Statement of Work, proposal or order form. If a specific service document conflicts with these general Terms, the specific agreed document will prevail to the extent of the conflict.
Simply browsing or downloading a free resource does not, by itself, create a paid service contract. Paid services require the separately accepted service-specific agreement or written proposal, including scope and fees. Where these general Terms are intended to apply to a particular engagement, they should be clearly incorporated into the accepted service documentation.
3. Services
Services may include digital marketing strategy and campaigns, branding and design, business intelligence and data analytics, SEO and Google Business Profile optimisation, paid advertising management, website improvements, process improvement and automation, reporting, and complimentary Growth Insight or Google Profile Analysis.
The precise scope, deliverables, assumptions, dependencies, timeline and fees will be stated in the relevant service document.
4. Proposals, Acceptance and Commencement
Unless otherwise stated, proposals and quotations remain open for 30 days. A project begins when the applicable proposal/service document is accepted in writing and any agreed conditions precedent, such as a deposit, are satisfied.
5. Fees, Payment and VAT
Fees are as stated in the applicable service document. Unless otherwise stated, invoices are due within 14 days. Retainer or monthly service fees may be invoiced in advance where agreed. For qualifying B2B transactions, statutory Irish late-payment interest and recovery-cost provisions may apply. We may suspend future work for materially overdue undisputed invoices, subject to the contract and applicable law. VAT will be charged only where applicable and at the rate required by law.
6. Client Responsibilities
Provide accurate and complete information reasonably required to deliver the agreed services.
Provide approvals, feedback, access credentials and content within agreed timescales.
Ensure the client has all necessary rights, licences and permissions for materials, images, copy, data and accounts supplied to Insygneum.
Where the client provides personal data to Insygneum, ensure that the disclosure and processing are lawful and that appropriate instructions and notices are in place.
Client-caused delays may affect delivery dates. Any resulting scope, timing or cost changes should be handled under the agreed change-control process.
7. Changes to Scope
Work outside the agreed scope may be treated as a change request and may involve additional fees or revised delivery dates. Any material change should be agreed in writing before the additional work is undertaken.
8. Intellectual Property
Unless the applicable service agreement states otherwise, ownership of final bespoke deliverables created specifically for the client transfers to the client, or an appropriate licence is granted, only after full payment of the relevant fees.
Free website materials (including articles, checklists and guides) remain the intellectual property of Insygneum or their respective rights holders unless expressly stated otherwise. Visitors may download, retain and use them for their own internal business purposes; resale, commercial redistribution or misrepresentation as another party’s work requires prior written permission, subject to any mandatory legal exceptions.
Insygneum retains ownership of its pre-existing materials, tools, frameworks, methodologies, templates, know-how, reusable components and generic techniques. Third-party materials remain subject to their respective licences and terms.
Unless otherwise agreed, Insygneum may refer to completed work in its portfolio, subject to confidentiality obligations and any client-specific restrictions.
9. Confidentiality
Each party will keep confidential information received from the other party confidential and use it only for the relevant business purpose, subject to disclosures required by law or to professional advisers and service providers appropriately bound by confidentiality obligations. This obligation survives termination.
10. Data Protection
Each party will comply with applicable data-protection law. Where Insygneum processes personal data on behalf of a client as a processor, the parties will enter into an appropriate data-processing agreement containing the required Article 28 terms before or when processing begins. Where Insygneum determines the purposes and means of processing, it will act as controller as described in its Privacy Policy.
11. Free Growth Insight and Google Profile Analysis
Complimentary Growth Insights and Google Profile Analyses are provided as preliminary observations based on information available at the time. They are not a full audit, legal/compliance review, financial advice or guarantee of business outcomes. The client remains responsible for decisions taken using the report, subject always to rights and liabilities that cannot lawfully be excluded or limited.
Free downloadable resources, checklists and articles are supplied for general educational and informational purposes and may not reflect every business’s circumstances. They do not constitute a complete audit or personalised legal, tax, financial or technical advice. No specific commercial outcome is guaranteed. This does not exclude liability or rights that cannot lawfully be excluded.
12. Results and Third-Party Platforms
Insygneum will perform services with reasonable care and skill appropriate to the agreed scope. Because rankings, advertising performance, platform availability, algorithm changes, customer behaviour and other external factors are outside Insygneum’s control, no specific level of leads, traffic, revenue, savings, ranking or return on advertising spend is guaranteed unless expressly agreed.
Insygneum is not responsible for outages, policy changes, suspension, deletion or material changes by third-party platforms where those events are outside Insygneum’s reasonable control.
13. Liability
Any limitation or exclusion of liability applies only to the extent permitted by applicable law. Nothing in these Terms is intended to exclude or restrict mandatory consumer rights or liability that cannot lawfully be excluded or restricted.
For B2B engagements, any agreed liability cap and exclusions should be stated in the applicable Service Agreement and should take account of the nature, value and risks of the service.
14. Termination
Termination rights, notice periods, outstanding fees, work in progress and third-party costs should be governed by the applicable Service Agreement. Any termination right is subject to mandatory consumer rights and applicable law.
15. Consumer Distance Contracts and Cancellation Rights
Where Insygneum contracts with a consumer online, by telephone or in another distance/off-premises context, the applicable statutory pre-contract information and cancellation/withdrawal requirements will apply. Where the consumer asks for the service to begin during the withdrawal period, the required express request/consent and information concerning proportional payment and loss of the cancellation right after full performance will be handled in accordance with applicable law.
These Terms are not a substitute for providing applicable consumer-specific pre-contract information, withdrawal/cancellation notices and any statutory model form where required. These must be provided at the appropriate stage of an actual consumer transaction; any request to start performance during a withdrawal period must be handled under the applicable legal rules.
16. Consumer Fairness and Mandatory Rights
Nothing in these Terms is intended to exclude, restrict or waive rights or remedies that apply mandatorily to consumers under Irish or applicable EU law. Consumer-facing terms will be drafted in plain language and applied fairly and transparently.
17. Force Majeure
Neither party is responsible for delay or failure caused by circumstances beyond reasonable control, such as governmental action, widespread infrastructure failure, power or telecommunications outages, cyber incidents not caused by that party’s failure to apply reasonable security, or major third-party platform failures. The affected party should notify the other where reasonably practicable and take reasonable steps to mitigate the impact.
18. Governing Law and Disputes
These Terms are governed by Irish law. Nothing in this clause removes any mandatory consumer protections or jurisdictional rights that apply to a consumer.
19. Changes to These Terms
We may update website terms for legitimate reasons such as changes to services, law or website functionality. A version of the terms incorporated into a particular service contract will continue to govern that contract unless the parties agree a lawful variation.
20. Entire Agreement and Order of Precedence
The applicable Service Agreement, Statement of Work, proposal or order form, together with these general Terms where incorporated, forms the agreement for the relevant service. If documents conflict, the agreed order of precedence should be stated in the service document. Nothing in an entire-agreement clause excludes liability for fraud or rights that cannot lawfully be excluded.
